What is a 506(c) Fund

A 506(c) fund (or offering) is a type of private securities offering used to raise capital under Rule 506(c) of Regulation D of the U.S. Securities and Exchange Commission (SEC).

The most significant feature of a 506(c) offering is that it allows the issuer (the company or fund) to use general solicitation and advertising to market the offering to the public.

Here are the key characteristics and requirements of a 506(c) fund:

 

1. General Solicitation is Allowed

 

  • Advertising: Unlike the more restrictive Rule 506(b) offerings, a 506(c) offering can be publicly advertised on websites, social media, radio, and through other general solicitation methods. This opens up the fundraising to a much wider audience.

 

2. Investors Must be Accredited

 

  • Accredited Investors Only: All purchasers in a 506(c) offering must be accredited investors. There is no limit on the number of accredited investors.

    • An accredited investor generally is an individual with a net worth of over $1 million (excluding their primary residence) or an income over $200,000 ($300,000 jointly) for the last two years.

How Much Do I Need To Invest

Typically we ask that our Investors invest a minimum of $250,000 but certain exemptions have been made and can be made again. The one thing that is very important and cant be changed is that you are an accredited investor. Being an accredited investor is not something you apply for or gain a certificate for its just simply your net worth exceeds $1,000,000 excluding your primary residence or have an income over $200,000 ($300,000 Jointly) for the last two years. Our fund will verify your net worth as part of qualifying to invest with us and/or verify your income. Recent Guidance from the SEC allows for our fund to assume your net worth and skip verification if you are investing $250,000 with us.

How Long Do I Need To Invest

We have a minimum investment time of 1 year but prefer to have our investors sign for  3 years. We typically incentivize longer term investments so we can better forecast liquidation events needed for our larger investors.
